The Senior Corporate Governance Specialist will report to and support the Director, Governance & Legal Services, in managing the Company’s corporate governance, regulatory compliance, entity management and legal operations activities. This role is responsible for maintaining corporate records and governance documentation, supporting SEC and NYSE compliance, assisting with the preparation of the Company’s annual proxy statement and stockholder meeting, and coordinating subsidiary governance matters. The position also supports corporate transactions and governance initiatives, works closely with internal stakeholders and external legal counsel, and helps ensure compliance with applicable state and federal regulations.
The Senior Corporate Governance Specialist will work in our Houston Corporate office and may work up to two (2) days a week remotely, as business needs allow.
Responsibilities
Support the development and coordination of the Company’s annual proxy statement, including drafting governance disclosures, coordinating internal reviews, and assisting with shareholder engagement support materials
Draft and maintain corporate governance documentation, including resolutions, meeting minutes, secretary’s certificates, and related records
Assist with the preparation and coordination of SEC filings and other regulatory disclosures, as needed
Assist in the planning and logistics for the Company’s annual stockholder meeting and proxy distribution
Support Section 16 compliance, including preparation of filings, maintenance of EDGAR access credentials, and tracking of insider ownership records
Monitor emerging corporate governance developments, SEC and NYSE rule changes, and investor governance trends to support evolving governance practices and disclosures
Support entity management activities, including maintaining records for domestic and foreign subsidiaries and related compliance documentation
Assist with maintaining corporate governance policies, templates, and internal resources
Coordinate with third-party service providers supporting governance, entity management, and regulatory filings
Contribute to corporate initiatives and projects, including process improvements, compliance initiatives, training and legal operations enhancements
Support the Company’s corporate governance framework by assisting with governance initiatives and disclosure enhancements aligned with evolving regulatory requirements and investor expectations.
Collaborate with members of the Legal team and cross-functional partners to support various legal and governance workstreams
Maintain strong, proactive communication with internal stakeholders while exercising sound judgment, discretion, and a high degree of professionalism
Licenses/ Certifications
Current Notary Commission in the State of Texas (preferred)
Certified Corporate Governance Professional (CCGP), Paralegal Certification from an ABA-accredited institution or program, or comparable governance or legal credential (preferred)
Qualifications/Requirements
Bachelor’s degree required
Minimum of 10 years of corporate paralegal or legal department experience in a public company or law firm
Strong understanding of corporate governance best practices, board and committee operations, and stockholder engagement processes
Exceptional organizational and project management skills, with the ability to manage competing priorities and deadlines
Strong written and verbal communication skills, including the ability to interact professionally with senior executives, directors, and external advisors
Ability to exercise sound judgment, maintain strict confidentiality, and handle sensitive corporate and executive information
Experience managing subsidiary governance and entity compliance, including domestic and international requirements (preferred)
Experience with governance platforms (e.g., Section 16 Manager, ActiveDisclosure, Workiva)
Demonstrated ability to collaborate cross-functionally with Legal, Finance, Investor Relations, Human Resources, and Compliance
The individual is required to follow all applicable safety precautions. Work is performed almost entirely in a controlled (i.e., inside) environment and does not typically subject the incumbent to any hazardous/extreme elements; some positions may require regularly moving or transporting items weighing up to 25 lbs. around the office for various needs.
